Annual General Meeting of Shareholders Held on 16 May 2013

On 16 May 2013 the Annual General Meeting of Shareholders of Ballast Nedam took place.
Mrs C.M. Insinger has been appointed as supervisory board member until the first General Meeting is held after four years have lapsed from 16 May 2013.
The four-yearly appraisal of the external auditor took place in 2012. Its conclusion was that the auditor had performed well throughout that year. Given the importance of the auditor's independence, it has been proposed that another external auditor be appointed. This was partly prompted by the auditor's long-term performance, and partly by the demands of the new Accountancy Profession Act. The shareholders' meeting has approved this appointment.
The shareholders' meeting also approved the proposed amendments to the Articles of Association, which arise from Ballast Nedam's policy of keeping its Articles of Association in line with legislation (or amendments thereto), as far as possible. For example, the threshold governing the right of shareholders to propose items for the agenda has been modified from the 1% cited in the present Articles of Association to the percentage as stated in the Act.
All other proposals of the Board of Management and the Supervisory Board were also adopted. The voting results will be published within 15 days on our website http://www.ballast-nedam.nl.
