LONDON, June 10, 2021 /PRNewswire/ -- Clarivate Plc (NYSE: CLVT), a global leader in providing trusted information and insights to accelerate the pace of innovation, announced today the pricing of concurrent offerings of 38,461,538 ordinary shares at a price to the public of $26.00 per share, of which 28,846,154 ordinary shares are being offered by Clarivate and 9,615,384 ordinary shares are being offered by certain existing shareholders (the "Ordinary Share Offering"), and 12,500,000 5.25% Series A Mandatory Convertible preferred shares (the "convertible preferred shares") at a price to the public of $100 per share (the "Convertible Preferred Share Offering," and together with the Ordinary Share Offering, the "Offerings"). Certain existing shareholders have granted the underwriters of the Ordinary Share Offering a 30-day option to purchase up to an additional 5,769,230 ordinary shares. Clarivate has granted the underwriters of the Convertible Preferred Share Offering a 30-day option to purchase up to an additional 1,875,000 convertible preferred shares solely to cover over-allotments, if any. The Offerings are expected to close on June 14, 2021, subject to customary closing conditions.
Clarivate's net proceeds from the Ordinary Share Offering are expected to be approximately $723.8 million, and Clarivate's net proceeds from the Convertible Preferred Share Offering are expected to be approximately $1.208 billion (or approximately $1.389 billion if the underwriters in the Convertible Preferred Share Offering exercise in full their over-allotment option to purchase additional convertible preferred shares), in each case after deducting underwriting discounts and commissions and estimated offering expenses. Clarivate will not receive any proceeds from the sale of ordinary shares by the selling shareholders, including pursuant to the exercise by the underwriters in the Ordinary Share Offering of their option to purchase additional ordinary shares. Clarivate intends to use the net proceeds from the Offerings to finance a portion of the purchase price for its pending acquisition of ProQuest, announced on May 17, 2021. Neither of the Offerings is conditioned on consummation of the ProQuest acquisition. If the ProQuest acquisition is not consummated, Clarivate intends to use the net proceeds received by it from the Offerings for general corporate purposes, which may, at Clarivate's option, include redemption of the convertible preferred shares.
Unless earlier converted or redeemed, each convertible preferred share will automatically convert on June 1, 2024 (subject to postponement for certain market disruption events) into between 3.2052 and 3.8462 of Clarivate's ordinary shares, subject to certain customary anti-dilution adjustments.
Dividends on the convertible preferred shares will be payable on a cumulative basis when, as and if declared by Clarivate's board of directors, at an annual rate of 5.25% on the liquidation preference of $100 per convertible preferred share, and may be paid in cash or, subject to certain limitations, in ordinary shares, or in any combination of cash and ordinary shares. If declared, dividends on the convertible preferred shares will be payable quarterly on March 1, June 1, September 1 and December 1 of each year, commencing on September 1, 2021 and ending on, and including, June 1, 2024.
