Extraordinary General Meeting of Shareholders on 14 November 2014

The Extraordinary General Meeting of Shareholders of Ballast Nedam N.V. was held on 14 November 2014. On the agenda were two voting items: a proposal to split the roles of Company Secretary and secretary to the Supervisory Board and the proposal to nominate Mr J.S.T. Tiemstra for appointment as member of the Supervisory Board.
The general meeting of shareholders adopted the proposal of the Board of Management to amend the Articles of Association, relating to the split of the roles of Company Secretary and secretary to the Supervisory Board. This split highlights the different roles of the Board of Management and the Supervisory Board and prevents any semblance of undesired exchange of information.
The general meeting of shareholders adopted the proposal of the Supervisory Board to appoint Mr J.S.T. (Tjalling) Tiemstra as member of the Supervisory Board. Mr Tiemstra was appointed as from 14 November 2014 for a period until after the first Annual General Meeting of Shareholders to be held after four years have lapsed since his appointment.
After the appointment of Mr Tiemstra, Mr A.N.A.M. Smits has resigned from the Supervisory Board. The Board of Management and the Supervisory Board fully understand his decision, announced in June, to stand down and express their gratitude for his years of commitment and dedication. Mr Smits was appointed to the Supervisory Board in September 2004 and acted as Chairman from May 2006 until June 2014.
Ballast Nedam has also informed the general meeting of shareholders of its intention to decide to abolish the Ballast Nedam Administration Office (Stichting Administratiekantoor van aandelen Ballast Nedam).
