SDLP - Announces Closing of TLB Amendment
LONDON, Aug. 4, 2020 /PRNewswire/ -- On July 20, 2020, Seadrill Partners LLC (the "Company") announced that it had reached an agreement with Term Loan B ("TLB") lenders representing over 70% of TLB principal amounts outstanding (the "Ad Hoc Group") that creates a super senior loan in lieu of a cash interest payment due on June 30, 2020 (the "Interest Payment") and provides the Company with the flexibility to address its 2020 debt maturities by paying down c.$230 million in secured bank debt (the "Amendment").
The consent solicitation period for the non-Ad Hoc Group TLB lenders' participation in the super senior loan expired on July 28, 2020 and the Amendment has closed. As a result, a $63.7 million super senior loan maturing in February 2021 was created carrying PIK interest of Libor+1000 bps and a 10% exit premium. The Amendment provides for certain cash restrictions and milestones including that the Company complete a recapitalization reasonably acceptable to the required lenders on or prior to December 15, 2020.
The Company has retired c.$230 million in secured bank debt and the vessels securing such bank debt will become part of the collateral securing the TLB and super senior loan.
